3. Subscription Services and Payments

3.1 Subscription Plans

Our Services are offered through subscription plans with recurring billing cycles (monthly, quarterly, annual). Plan details, including features, pricing, and billing frequency, are available at the time of purchase. Subscription terms begin upon payment and continue for the selected term unless terminated.

3.2 Payment Terms

All fees are non-refundable except as explicitly stated in these Terms. You authorize us to charge your chosen payment method for all recurring fees, taxes, and applicable charges. Payments are due immediately upon invoice issuance. Late payments accrue interest at 1.5% per month or the maximum rate permitted by law, whichever is lower. We may suspend Services for non-payment after 7 days written notice.

3.3 Payment Methods

We accept payments through third-party processors (Stripe, PayPal, or similar). You authorize these processors to charge your payment method. We do not store complete credit card information. All payment disputes must be resolved directly with the payment processor.

We reserve the right to change subscription prices with 30 days written notice. Price changes apply to your next billing cycle following the notice period. You may cancel your subscription if you do not accept the price change.

3.5 Taxes

You are responsible for all applicable taxes, duties, and government charges excluding taxes based on our net income.

4. Service Descriptions and Deliverables

4.1 Service Scope

Our Services include web design, web development, graphic design, digital marketing assets, and related consulting services delivered through subscription plans. Specific deliverables depend on your selected plan and project requests submitted through our platform.

4.2 Request Process
‍
You submit design/development requests through our platform specifying requirements, deadlines, and assets. We review requests and either accept, request clarification, or decline based on scope, complexity, and plan limitations. Accepted requests enter production according to our delivery timeline.

4.3 Delivery Timeline
‍
Standard delivery is 2-5 business days per request depending on complexity and plan level. Rush requests may incur additional fees. Delays caused by incomplete information, missing assets, or excessive revisions may extend timelines. We are not responsible for delays outside our control.

4.4 Revision Policy

Each request includes up to 2 rounds of revisions. Additional revisions may require new requests or incur fees. Revisions must be specific and reference delivered work. We may decline vague or subjective revision requests.

4.5 Request Limits

Subscription plans include monthly request limits. Unused requests do not roll over. Exceeding limits requires plan upgrade or additional fees.

5. Intellectual Property Rights

5.1 Ownership of Deliverables
‍
All deliverables created by Augmen8 under these Terms are provided as “work made for hire” under applicable copyright law. To the extent not qualifying as work made for hire, you are granted a worldwide, non-exclusive, perpetual, royalty-free license to use deliverables for your internal business purposes. We retain all other rights, including the right to showcase deliverables in our portfolio and marketing materials.

5.2 Your Materials

You grant us a worldwide, non-exclusive, royalty-free license to use materials you provide (logos, images, content, etc.) solely for creating deliverables under these Terms. You represent and warrant that you own or have rights to provide these materials and that their use will not infringe third-party rights.

5.3 Third-Party Materials

We may use stock images, fonts, and third-party materials in deliverables. Licensing fees for these materials are included in subscription pricing unless otherwise specified.

6. Acceptable Use Policy

You agree not to use the Services to create materials that violate applicable laws or these Terms, including content that is illegal, obscene, defamatory, threatening, harassing, promotes violence, discriminates based on protected characteristics, infringes intellectual property rights, violates privacy rights, or constitutes spam or phishing. We may reject, remove, or suspend access for any content violating this policy.

7. Prohibited Activities

You agree not to (a) reverse engineer, decompile, or disassemble our platform; (b) access Services using automated means except as permitted; (c) interfere with Service operation or security; (d) use Services for competitive analysis; (e) remove or alter proprietary notices; (f) transfer your account without permission; (g) impersonate others; or (h) assist others in violating these Terms. We may suspend or terminate accounts engaging in prohibited activities.

8. Limited Warranty and Disclaimers

We warrant that Services will be performed in a professional and workmanlike manner consistent with industry standards. This warranty lasts 7 days from delivery. If deliverables do not conform to this warranty, we will use commercially reasonable efforts to correct the issue within 7 days of written notice. This is your exclusive remedy.

8.2 Disclaimers

EXCEPT FOR THE LIMITED WARRANTY ABOVE, THE SERVICES, SITE, AND ALL DELIVERABLES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. We do not warrant that Services will meet your requirements, be uninterrupted or error-free, or that defects will be corrected. No advice or information from us creates any warranty not expressly stated.

8.3 Results Disclaimer

Creative services involve subjective judgment. We do not guarantee specific business results, conversion rates, performance metrics, or client satisfaction. Deliverables are created based on information you provide. Final approval of deliverables is your responsibility.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AUGMEN8’S TOTAL LIABILITY UNDER THESE TERMS SHALL NOT EXCEED FIFTY U.S. DOLLARS ($50.00 USD), REGARDLESS OF LEGAL THEORY. This limitation applies to all claims, including contract, tort, strict liability, or otherwise. We are not liable for indirect, incidental, consequential, special, or punitive damages including lost profits, revenue, data, business opportunities, goodwill, or use, even if advised of their possibility.

10. Indemnification

You agree to indemnify, defend, and hold harmless Augmen8, its affiliates, officers, directors, employees, and agents from claims arising from your use of Services, materials you provide, violation of these Terms, violation of third-party rights, or violation of applicable law. We reserve the right to assume defense of any matter subject to indemnification, in which case you agree to cooperate.

11. Termination

11.1 By You

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of your current billing period. No refunds for partial periods. You remain liable for fees accrued before cancellation.

11.2 By Us
‍
We may terminate or suspend your account and Services immediately for any reason including non-payment, violation of Terms, abusive behavior, or business needs. Termination does not relieve payment obligations.

11.3 Effect of Termination
‍
Upon termination, access to Services ends. You must download deliverables within 30 days. We may delete your account and data after 30 days. Accrued payment obligations survive termination.

12. Force Majeure

We are not liable for delays or failures caused by events beyond our reasonable control including natural disasters, war, terrorism, pandemics, government actions, internet failures, power outages, or third-party service disruptions.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Province of Ontario and Canada, without regard to conflict of laws principles.

13.2 Dispute Resolution

YOU AND AUGMEN8 AGREE THAT ANY DISPUTE ARISING FROM THESE TERMS SHALL BE RESOLVED EXCLUSIVELY THROUGH BINDING ARBITRATION IN TORONTO, ONTARIO, UNDER THE COMMERCIAL ARBITRATION ACT (ONTARIO), EXCEPT FOR CLAIMS FOR INJUNCTIVE RELIEF. Each party waives rights to class actions, jury trials, and court proceedings. The arbitrator may award costs, fees, and remedies available under law.

13.3 Small Claims Exception

Claims under $5,000 CAD may be brought in small claims court in Toronto, Ontario.
